    1. Agreement to Terms

    These Terms and Conditions ("Terms") are an agreement between you and 4milelabs ltd., a Colorado corporation ("4milelabs," "we," "us," or "our"), and govern your access to and use of 4miles.ai (the "Site") and our consulting and advisory services (the "Services"). By accessing the Site, contacting us, or engaging our Services, you agree to these Terms. If you do not agree, do not use the Site or Services.

    2. Services

    4milelabs provides AI strategy, advisory, design, and development services, including the integration and deployment of artificial intelligence systems, large language models (LLMs), and related software. Specific deliverables, timelines, and fees are set out in a separate master services agreement, engagement letter, or statement of work ("SOW"). If an SOW conflicts with these Terms, the SOW controls.

    3. Products

    4milelabs also builds and operates its own software products, including LumaLayer and Hello. Use of each product is governed by that product's own terms of service and privacy policy, not these Terms.

    4. Eligibility

    You must be at least 18 years old and have the legal authority to enter into this agreement on behalf of yourself or the entity you represent.

    5. No Professional Advice

    Content on the Site is for general information only and is not legal, medical, financial, or other professional advice.

    6. AI-Specific Terms

    Our Services may use third-party AI providers (such as OpenAI, Google, Anthropic, and others). You acknowledge and agree that:

    • (a) AI outputs are generated probabilistically and may be inaccurate, incomplete, biased, or unsuitable for a particular purpose. You are responsible for reviewing and validating any AI output before relying on it, especially for legal, medical, financial, or other high-stakes decisions.
    • (b) AI outputs are not professional advice. We do not warrant that outputs will be error-free, original, non-infringing, or fit for any particular use.
    • (c) Inputs you submit to AI systems may be transmitted to and processed by third-party model providers under their own terms and privacy policies.
    • (d) You will not submit personal data, regulated data (including protected health information ("PHI") or payment card data), trade secrets, or other sensitive information unless expressly permitted in an SOW with appropriate safeguards. You will not disclose PHI to us unless a Business Associate Agreement between you and 4milelabs is in effect.
    • (e) You are responsible for ensuring your use of AI outputs complies with applicable law, including intellectual property, data protection, and AI-specific regulation (e.g., the EU AI Act).

    7. Acceptable Use

    You agree not to use the Site or Services to:

    • (a) violate any law, regulation, or third-party right;
    • (b) generate content that is unlawful, defamatory, harassing, hateful, or that sexualizes minors;
    • (c) develop weapons, malware, or systems designed to harm individuals or critical infrastructure;
    • (d) make automated decisions producing legal or similarly significant effects on individuals without appropriate human oversight;
    • (e) mislead anyone into believing AI-generated content was produced by a human where disclosure is required by law; or
    • (f) reverse-engineer, scrape, or attempt to extract model weights or training data from any system we provide.

    8. Communications and SMS Consent

    If you provide your mobile number and opt in, you consent to receive transactional text messages from 4milelabs about your inquiry or engagement, such as scheduling, support communications, invoice notifications, and payment reminders. Consent is not a condition of purchase. Message frequency varies. Message and data rates may apply. Reply STOP at any time to stop all messages, or HELP for help. We do not sell or share mobile numbers or SMS opt-in data with third parties for their marketing purposes.

    9. Intellectual Property

    The Site, our branding (including the 4milelabs name and 4M mark), methodologies, frameworks, and pre-existing materials are owned by 4milelabs ltd. Subject to full payment, deliverables produced under an SOW are licensed or assigned to you as specified in that SOW. AI-generated outputs may not be eligible for copyright protection in some jurisdictions; we make no representation as to ownership of raw model output.

    10. Confidentiality

    Each party will protect the other's confidential information using reasonable care. We will not use confidential information you share with us to train third-party foundation models without your written consent. Additional confidentiality terms may be set out in an SOW or separate agreement.

    11. Disclaimers

    THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF AI OUTPUTS.

    12. Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, 4MILELABS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THE SITE, THE SERVICES, OR ANY AI OUTPUT. OUR AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

    13. Indemnification

    You agree to indemnify and hold harmless 4milelabs ltd. and its officers and employees from any claims arising out of your misuse of the Site or Services, your inputs, or your use of AI outputs in violation of these Terms or applicable law.

    14. Termination

    We may suspend or terminate access to the Site or Services at any time, including for violation of these Terms. Sections that by their nature should survive termination will survive, including Sections 6, 9 through 13, and 15.

    15. Governing Law and Venue

    These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-laws principles. Any dispute will be brought exclusively in the state or federal courts located in Denver County, Colorado, and you consent to their jurisdiction.

    16. General

    These Terms, together with any SOW, are the entire agreement between you and 4milelabs regarding their subject matter. If any provision is found unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.

    17. Changes

    We may update these Terms from time to time. The "Last updated" date above reflects the latest revision. Continued use of the Site after changes means you accept them.
